Cyprus IP Box Regime and Tax

The Cyprus IP Box regime is a special tax scheme for income from certain intangible assets. It follows the OECD BEPS Action 5 Modified Nexus Approach and meets EU rules. Under the regime, 80 percent of your net IP income is tax-free. This sits on top of the 15 percent Cyprus corporate income tax. What is the IP Box regime in Cyprus?

The Cyprus IP Box regime is a special tax scheme. It gives companies a lower tax rate on income from certain intangible assets. It follows the OECD BEPS Action 5 framework (the Modified Nexus Approach) and meets the international tax standards of the OECD and the EU. The current IP Box has been in force since 1 July 2016. It replaced the previous regime, which expired on 30 June 2016. Transitional rules applied to existing companies until 30 June 2021.

The main benefit of the IP Box is the low effective tax rate of 3 percent. This comes from an 80 percent tax exemption on net income from qualifying intangible assets. The calculation starts from the general Cyprus corporate income tax rate of 15 percent. On top of this, capital gains from the sale of qualifying intangible assets are usually fully tax-free.

The regime tends to suit companies that spend heavily on research and technology. This includes technology companies, software developers, and pharmaceutical firms. These companies may also benefit from a generous deduction. As a rule, up to 100 percent of research costs can be claimed for tax purposes when the money goes into developing new or innovative intellectual property rights.

To use the IP Box, a company must legally protect its intellectual property. It must also be able to show real research and development (R&D) activity.

Which assets qualify under the regime?

The intangible assets that qualify for IP Box treatment include patents, copyright-protected software, utility models, and orphan drug designations, among others.

To qualify, the intellectual property generally needs to be innovative, new, and useful. Software companies in particular may benefit when they develop complex algorithms or specialised applications that are protected by copyright.

Marketing-related IP rights are not covered. This means trademarks, brand names, customer lists, and logos are excluded from the IP Box. The same applies to general copyrights for creative works, such as books or music, because these are not mainly based on research-driven innovation.

Practical examples of the Cyprus IP Box in action

A software start-up in Cyprus that develops AI-powered translation software may benefit from significant tax savings. Income from worldwide licence fees is taxed under the Cyprus IP Box at an effective rate of 3 percent.

Another example is a pharmaceutical company that has developed a patented medicine. Licensing the patent to international partners also falls within the Cyprus IP Box tax advantages.

A book author who receives royalties from their works, however, would not benefit from the regime. Literary works do not count as eligible intangible assets.

How to apply for the IP Box in Cyprus

To use the tax advantages of the IP Box, a company must first legally register its intellectual property. For example, this can be a patent or copyright-protected software. The company then needs detailed proof of its research and development activity. This confirms that the intellectual property came from R&D.

To secure the tax benefit, it is generally wise to obtain a binding tax ruling from the Cyprus tax authorities. This usually confirms that the company meets the requirements and can rely on the benefits over the long term. Companies should also keep detailed financial and technical records of income, development costs, and licensing arrangements. This helps them prepare their tax return correctly.
