The Executive Council Resolution No. 11 of 2025 enables selected freezone companies to carry out certain business activities on Dubai mainland as well – subject to approval by the Department of Economy & Tourism (DET).
With the One Freezone Passport, companies can operate in multiple freezones within Dubai with one license.
Only Designated Free Zones enjoy special regulations for VAT purposes – particularly for intra-zone goods movements.
For freezone companies, the Corporate Tax Regime applies: If certain qualification criteria are met, profits from permitted business activities remain tax-free.
Corporate tax is generally 9 percent and is only levied on annual company profits exceeding AED 375,000 . Freezone companies can be classified as a Qualifying Free Zone Person if they meet the legal requirements. Qualifying income is then taxed at 0 percent, non-qualifying income at 9 percent. For large multinational corporate groups, an additional Domestic Minimum Top-up Tax of 15 percent may apply.
Special regulation until December 31, 2026
For smaller companies, there is the possibility of so-called "Small Business Relief". If annual turnover in the relevant tax periods is at most AED 3,000,000 , certain tax reliefs can be claimed. This option is not available to Qualifying Free Zone Persons and applies exclusively to tax periods ending before or on December 31, 2026. We check on a case-by-case basis whether the requirements are met and whether the application is economically sensible.
Currently, no withholding tax is levied on dividends, interest and license fees (rate 0 percent). Value added tax is 5 percent; registration and declaration obligations depend on activity and legal thresholds.
To comply with international standards, the Economic Substance Requirements (ESR) exist. These apply when a relevant activity is present, for example Headquarters, Distribution and Service Centre or IP. Companies whose owners are not resident in the UAE can meet the requirements through a registered branch and a locally appointed management.
